Beanchain Coffee Vendor Consignment Agreement

Current

Version vendor-agreement-v2. In effect from November 1, 2026.

This agreement is written to vendors we have approved, and this is the exact version they accept. That is why it talks to you as if you already sell here. Nobody is asked to accept it until we approve their application.

Welcome to the Beanchain Coffee vendor shelves! We're excited to have your products in our space and to help introduce your business to the Beanchain community. Our vendor shelves are meant to be a collaboration. Beanchain provides the retail space and customer exposure, and vendors are responsible for keeping their space active, attractive, and promoted. By signing this agreement, you acknowledge and agree to the following terms. 1. CONSIGNMENT TERMS & FEES This is a consignment agreement between Beanchain Coffee and the vendor. There is no monthly shelf rental fee required to participate as a vendor at Beanchain Coffee. Instead, Beanchain Coffee will retain 20% of the retail sale price of each vendor item sold through Beanchain. The remaining 80% of the sale will be paid to the vendor as described in section 2. The price on your tag is the price the customer pays. Sales tax is included in that price, and Beanchain files and pays it out of its 20%. Card processing fees are also paid by Beanchain. Neither comes out of your 80%. Products remain the property of the vendor until they are sold to a customer. By signing this agreement, the vendor acknowledges and agrees to Beanchain's 20% consignment commission. 2. HOW AND WHEN YOU ARE PAID Every sale of your products is rung up on Beanchain's marketplace register, so every sale is recorded in your vendor account at marketplace.bchain.coffee. After each month ends, we prepare a statement of everything of yours that sold that month. If a customer returns one of your items, the refund comes off the statement for the month the return happens. We pay your 80% on the 5th of the following month, or on the next business day if the 5th falls on a weekend or holiday. Payments go straight to your bank account through Stripe, the payment company Beanchain uses. You connect your bank once, in your vendor account, and Stripe holds your bank details, not Beanchain. Your 80% of cash sales is paid the same way, in the same Stripe payment as your card sales. Beanchain pays vendors only through Stripe, so you need to connect your bank before we can pay you, and what you are owed waits for you until you do. You are responsible for any income tax on what you are paid. 3. SOCIAL MEDIA & PROMOTION REQUIREMENT As a Beanchain Coffee vendor, you agree to post about your shelf, products, or your presence at Beanchain a minimum of TWO (2) TIMES PER MONTH on your business or primary social media account. Posts may include: - Photos or videos of your Beanchain shelf - Product features - Restock announcements - New product announcements - Behind-the-scenes content - Encouraging your customers to visit your shelf at Beanchain - Reposting Beanchain content featuring your products Beanchain Coffee must be tagged in each qualifying post. The tag allows Beanchain to verify that the required post was completed and serves as proof of the vendor meeting their monthly promotional requirement. Posts that do not tag Beanchain Coffee may not be counted toward the required two posts per month. Monthly Report Each month, you file a short report in your vendor account at marketplace.bchain.coffee. It asks for links to your two tagged posts, a current photo of your shelf, and whether you restocked. The report for each month is due by the 7th of the following month. A quiet month is worth filing too: tell us what happened. The report is how Beanchain keeps track of the posting requirement, so a month with no report may be treated as a month without the two posts. Failure to Post If the required two posts are not completed during the month, your products may be removed from the vendor area and your vendor space may be reassigned. Beanchain may send courtesy reminders during the month, but a reminder is a courtesy and not a warning: it is the vendor's responsibility to keep track of the monthly posting requirement, and products may be removed without further notice if it is not met. We understand that life happens. If there is a reason you are unable to post during a particular month, please reach out and communicate with us before the end of the month. We are happy to work with vendors who communicate with us. 4. YOUR SHELF IS YOUR RESPONSIBILITY Each vendor is responsible for maintaining their own shelf or designated retail space. This includes: - Keeping the shelf clean and organized - Keeping products properly displayed - Restocking products as needed - Removing outdated, damaged, or unsellable merchandise - Keeping pricing accurate and visible, and matching the prices in your vendor account - Making sure the shelf continues to look professional and inviting We want every vendor space to look its best for both your business and Beanchain. If a shelf is repeatedly empty, neglected, disorganized, outdated, or poorly maintained, Beanchain reserves the right to remove the products and make the space available to another vendor. 5. YOUR PRODUCTS IN YOUR VENDOR ACCOUNT Before you bring a product in, add it to your vendor account with its name and price, and put it on sale there. That is what the register uses to ring it up, and what names it on your statement. When you change a price on a tag, change it in your vendor account too. 6. PRODUCT INVENTORY Vendors are responsible for knowing what inventory they have placed at Beanchain and for keeping their own inventory records when necessary. Beanchain staff may assist with general store operations but are not responsible for managing, organizing, tracking, or restocking individual vendor inventory. 7. THEFT, LOSS & DAMAGE While Beanchain Coffee will make reasonable efforts to monitor the retail area and discourage theft, Beanchain Coffee is not responsible for stolen, missing, lost, or damaged vendor merchandise. By participating as a vendor, you acknowledge that products are being displayed in a public retail environment and that some risk of theft, loss, or damage exists. Beanchain staff will do our best to identify and stop theft when we see it, but we cannot guarantee the security of individual products. The vendor assumes responsibility for this risk. 8. COMMUNICATION Communication is important to us. If you are experiencing an issue that may prevent you from: - Posting twice during the month - Filing your monthly report - Restocking your shelf - Maintaining your display - Visiting the store - Meeting another expectation in this agreement Please contact Beanchain as soon as possible. We are much more willing to work with vendors who communicate with us. 9. REMOVAL OF PRODUCTS Beanchain Coffee reserves the right to discontinue a vendor's participation and remove their products from the vendor area if the expectations outlined in this agreement are not being met. This may include, but is not limited to: - Failure to post at least twice per month - Failure to tag Beanchain Coffee in qualifying posts - Failure to file the monthly report - Failure to maintain or restock the vendor shelf - Abandoned or consistently empty shelves - Poorly maintained displays - Products that are inappropriate for the Beanchain space - Failure to communicate regarding ongoing issues Beanchain is not required to provide a warning before removing products or ending a vendor placement. If products are removed, the vendor will be responsible for arranging pickup of their remaining merchandise. 10. AGREEMENT By accepting below, I confirm that I have read and understand the Beanchain Coffee Vendor Consignment Agreement. I understand that there is no monthly shelf rental fee and that Beanchain Coffee will retain 20% of each sale made through the store. I understand that maintaining my shelf and promoting my presence at Beanchain are conditions of remaining a vendor. I understand that I am required to post about my Beanchain vendor presence at least twice per month and that Beanchain Coffee must be tagged in each qualifying post as proof of posting. I understand that I will file a short report in my vendor account each month, by the 7th of the following month. I understand that I will be paid my 80% of card and cash sales once a month, on the 5th of the following month, only through Stripe, and that I need to connect my bank account in my vendor account before I can be paid. I understand that failure to meet these expectations may result in my products being removed without prior warning. I also acknowledge that Beanchain Coffee is not financially responsible for stolen, missing, lost, or damaged merchandise.
